LoyalShops Messaging Acceptable Use Policy (AUP)

Effective Date: February 19th 2026

This Messaging Acceptable Use Policy (“AUP”) governs all SMS, MMS, and email messaging services provided by LoyalShops, LLC (“LoyalShops,” “Company,” “we,” “us”).

All Retailers using LoyalShops messaging services agree to comply with this AUP.Failure to comply may result in immediate suspension or termination of messaging services.


1. Consent Requirements

Retailers must obtain proper consent before sending SMS messages.Retailers represent and warrant that:

  • SMS recipients have provided express consent prior to receiving marketing messages.
  • Consent was obtained through a clear and conspicuous opt-in mechanism.
  • Opt-in language included:
    • Notice of recurring messages
    • “Msg & Data Rates May Apply”
    • STOP and HELP instructions

Purchased, rented, scraped, borrowed, or third-party lists are strictly prohibited.

LoyalShops may request proof of consent at any time.

Failure to provide consent documentation may result in immediate suspension.


2. Opt-Out Compliance

Retailers must:

  • Honor STOP requests immediately.
  • Not send further marketing messages to opted-out recipients.
  • Ensure unsubscribe links are present in email communications.

LoyalShops maintains suppression records and may block messaging to opted-out recipients.


3. Prohibited Messaging Practices

The following are strictly prohibited:

  • Sending unsolicited messages
  • Sending messages to numbers without documented consent
  • Phishing or impersonation
  • Fraudulent, misleading, or deceptive messaging
  • High-frequency spamming
  • Content designed to evade carrier filtering
  • URL shorteners intended to obscure destination
  • Snowshoe messaging (distributing traffic across multiple numbers to evade filtering)

4. Prohibited Content & Industries

Retailers may not use LoyalShops messaging services for:

  • Gambling, lotteries, sweepstakes with monetary prizes
  • Cannabis, Marijuana, CBD, THC, tobacco, vaping products
  • Weapons or explosives
  • Adult content
  • Payday loans or high-risk financial schemes
  • Illegal or regulated goods or substances
  • Age-restricted goods without verified compliance
  • Phishing, fraud, or spam
  • Any activity illegal in target jurisdictions

LoyalShops reserves sole discretion in determining prohibited use and may suspend accounts at its sole discretion.


5. Volume & Traffic Monitoring

LoyalShops monitors messaging activity for:

  • Spam complaint rates
  • Opt-out ratios
  • Carrier feedback
  • End User Feedback
  • Delivery failure rates
  • Unusual traffic spikes

Retailers exhibiting abnormal or high-risk traffic may be:

  • Temporarily throttled
  • Placed on prepaid status
  • Required to provide additional documentation
  • Suspended or terminated

6. Registration & Business Information Accuracy

Retailers must provide accurate business registration information for telecommunications registration.

Use of false, misleading, or unverifiable business information may result in:

  • Carrier blocking
  • Immediate suspension
  • Permanent termination

7. Payment & Credit Risk

Messaging services are not extended on credit.

If payment methods are declined, insufficient, locked, or otherwise unavailable:

  • Messaging services may be immediately suspended.
  • Prepaid balances may be required.
  • Increased billing frequency may be imposed.

Repeated payment failures may result in permanent termination.


8. Carrier & Regulatory Enforcement

LoyalShops may suspend or terminate messaging services without notice if:

  • Required by telecommunications carriers
  • Required by regulators
  • Excessive complaints occur
  • High-risk content is detected
  • Messaging threatens platform integrity

Carrier decisions are final and may not be appealable through LoyalShops.


9. Indemnification for Messaging Violations

Retailers agree to indemnify and hold LoyalShops harmless from:

  • TCPA claims
  • Carrier fines
  • Spam complaints
  • Regulatory enforcement
  • Civil penalties
  • Legal fees related to messaging practices

10. Investigation Rights

LoyalShops may investigate suspected violations and may:

  • Request consent records
  • Review campaign content
  • Audit opt-in workflows
  • Require compliance modifications

Failure to cooperate may result in termination.


11. Zero Tolerance Policy

Severe violations including fraud, phishing, or unlawful messaging may result in:

  • Immediate account termination
  • Reporting to carriers
  • Reporting to regulatory authorities
  • Permanent ban from future services

12. Updates to This Policy

LoyalShops may update this AUP at any time. Continued use of messaging services constitutes acceptance.
